THIS AGREEMENT is made and entered into as of the 1st day of August, 2006, by and between TCBY SYSTEMS, LLC, a Delaware limited liability company (“COMPANY”) and PATE DAWSON COMPANY, a North Carolina Corporation (“DISTRIBUTOR”). DISTRIBUTOR will commence distribution services under this Agreement on September 25, 2006 (the “Effective Date”) unless otherwise mutually agreed upon by the parties.
