This GUARANTEE AGREEMENT (the “Trust Securities Guarantee”), dated as of April 3, 2006, is executed and delivered by Affiliated Managers Group, Inc., a Delaware corporation (the “Guarantor”), and LaSalle Bank National Association, a national banking association, as trustee (the “Trust Securities Guarantee Trustee”), for the benefit of the Holders (as defined herein) from time to time of the Trust Preferred Securities and Trust Common Securities (each as defined herein) of AMG Capital Trust I, a Delaware statutory trust (the “Issuer”).
