THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”) is made as of March 31, 2003, by and among Mackie Designs Inc., a Washington corporation (the “Company”), Sun Mackie, LLC, a Delaware limited liability company (“Sun”), Randolph Street Partners V, an Illinois General Partnership (“RSP”) and H.I.G. Sun Partners, Inc., a Cayman Islands corporation (“HIG”) (Sun, RSP and HIG, the “Investors” and individually, an “Investor”).
