This Exchange Agreement, dated as of September 29, 2026 (this “Agreement”), is made and entered into by and among Omnitek Engineering Corp., a company incorporated in the State of California (“OMTK”), Hard Rock Ready Mix, LLC (“Hard Rock”), a limited liability company formed in the State of Wyoming, and the sole member of Hard Rock (the “Hard Rock Member”) listed on the Signature Page for the Hard Rock Member that are attached hereto.

Omnitek Engineering Corp., a California corporation (the “Company”), hereby certifies that, for value received, Hawkeye Digital Inc., a Nevada corporation or its registered assigns (the “Holder”), is entitled to purchase from the Company up to a total of 16,666,667 shares of Common Stock, no par value of the Company (each such share, a “Warrant Share” and all such shares, the “Warrant Shares”), at any time, and from time to time, from and after the Original Issue Date for a period of five (5) years through and including October 1, 2031 (the “Expiration Date”), and subject to the following terms and conditions:
