This SHARE AWARD AGREEMENT (the “Agreement”) is entered into as of [Date], by and between CURRENT MEDIA, LLC a Delaware limited liability company (the “Company”), and Employee Name (the “Executive”). Capitalized terms not defined herein shall have the meaning ascribed to them in the First Amended and Restated Operating Agreement of Current Media, LLC, dated as of May 4, 2004 (the “LLC Agreement”).

This First Amendment to Office Lease (“First Amendment”) is entered into effective July 1, 2005 by and between SFI Real Estate Holdings, LLC, a Delaware limited liability company (“Landlord”), Current Media, LLC, a Delaware limited liability company (successor by name change to INdTV Holdings, LLC, a Delaware limited liability company) and Current TV, LLC, a Delaware limited liability company (successor by name change to INdTV, LLC, a Delaware limited liability company) (collectively “Tenant”), and is made with respect to the following facts and circumstances.

This NOTE PURCHASE AGREEMENT, dated as of September 20, 2006 (this “Agreement”), is entered into by and among Current Media, LLC, a Delaware limited liability company (the “Company”), the lenders listed on the signature page hereof (each a “Lender,” and collectively, the “Lenders”) and HSBC Bank USA, National Association, as collateral agent on behalf of the Lenders (the “Collateral Agent”).
