This Change of Control Retention and Severance Agreement (the "Agreement") is made and entered into as of June 2, 2003 (the "Effective Date"), by and between Cepheid and Joseph H. Smith (the "Executive"). Capitalized terms used in this Agreement shall have the meanings set forth in Section 3 below.
