This letter agreement (the “Agreement”) is intended to memorialize the terms under which you served as a consultant to Flagstar Bancorp, Inc. (“FBC”) and Flagstar Bank, FSB (the “Bank” and, together with FBC, “Flagstar”) during the Consulting Period (as defined below).

THIS SEPARATION AND RELEASE AGREEMENT (this “Agreement”) is entered into by and between Joseph P.
