This SHARE EXCHANGE AGREEMENT (this “Agreement”), dated as of November 24, 2010, is by and among Enter Corp., Inc., a Delaware corporation (the “Parent”), Brainy Acquisitions, Inc., a Georgia corporation (the “Company”), and the shareholders of the Company (each a “Shareholder” and collectively the “Shareholders”).
