This Amended and Restated Executive Employment Agreement (“Agreement”), effective November 1, 2021 (the “Effective Date”), is between OceanFirst Financial Corp. (“Holding Company”), the holding company of OceanFirst Bank, N.A. (the “Bank,” and together with the Holding Company, the “Company”), and its successors and assigns and Grace Vallacchi (“Executive”) (collectively, the “Parties”), and replaces the Executive Employment Agreement executed by the Parties on October 23, 2017 (the “Original Employment Agreement”) In consideration of the foregoing promises and for other good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the Holding Company and Executive hereby agree to enter into an employment relationship in accordance with the terms and conditions set forth below.
