This EXCHANGE AGREEMENT (as it may be amended from time to time in accordance with the terms hereof, this “Agreement”), dated as of April 27, 2023, is made by and between Jefferies Financial Group Inc., a New York corporation (the “Company”), and Sumitomo Mitsui Banking Corporation, a joint stock company incorporated in Japan (“SMBC”). The Company and SMBC are sometimes referred to herein individually as a “Party” and collectively as the “Parties”.
