SECURITIES PURCHASE AGREEMENT (this “Agreement”), dated as of May 23, 2021, by and among Lehigh Cement Company LLC, a Delaware limited liability company (“Lehigh”), HBMA Holdings LLC, a Delaware limited liability company (“HBMA”), Lehigh Southwest Cement Company, a California company (“LSCC” and, together with Lehigh and HBMA, the “Sellers”), and Martin Marietta Materials, Inc., a North Carolina corporation (“Buyer”).
