This letter agreement sets forth the terms and conditions pursuant to which Insight Creative Solutions, Inc., a California corporation (“Insight”), and Donald A. Kurz (“Kurz”) are engaging Barington Capital Group, L.P. (the “Advisor”) to provide certain advisory services relating to the contemplated solicitation (the “Solicitation”) of proxies or written consents by Insight or Kurz for the election of a slate of nominees to the board of directors (the “Board”) of EMAK Worldwide, Inc. (the “Company”).
