This Executive Employment Agreement (“Agreement”), dated for reference purposes only as of the 16th day of December, 2008, is entered into by and between Dana Holding Corporation, a Delaware corporation, with its principal executive office at 4500 Dorr Street, Toledo, Ohio (the “Company”), and Robert H.
