REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of May 15, 2008, by and among Qiao Xing Mobile Communication Co., Ltd., a company incorporated under the laws of the British Virgin Islands, with headquarters located at 10th Floor CEC Building, 6 Zhongguancun South Street, Beijing, People’s Republic of China, 100086 (the “Company”), and the undersigned buyers (each, a “Buyer”, and collectively, the “Buyers”).
