This Collateral Management Agreement, dated as of December 20, 2006 (the “Agreement”), is entered into by and between CAPITALSOURCE REAL ESTATE LOAN TRUST 2006-A, a Delaware statutory trust (together with successors and assigns permitted hereunder, the “Issuer”), and CAPITALSOURCE FINANCE LLC, a limited liability company organized under the laws of the State of Delaware (“CapitalSource” and, together with its successors and assigns the “Collateral Manager”). Capitalized terms used herein but not otherwise defined herein shall have the respective meanings ascribed thereto in the Indenture, dated as of December 20, 2006 (the “Indenture”), by and among the Issuer, Wells Fargo Bank, N.A., a national banking association, as trustee (in such capacity, the “Trustee”), calculation agent, transfer agent, custodial securities intermediary, backup advancing agent and notes registrar, and CapitalSource, as advancing agent.
