Old Line Bancshares, Inc., a corporation organized under Maryland law (the “Company”), proposes to employ you (“you” or the “Underwriter”), as agent to the Company, to assist the Company in the public offerings of the Company’s Common Stock, par value $0.01 per share (the “Common Stock”) on a best efforts basis of up to 1,500,000 shares of the Company’s Common Stock in the public offering (the “Public Offering”). In addition, the Company may increase the number of shares to be sold in the Public Offering by up to an additional 225,000 shares of Common Stock. The shares of Common Stock to be issued in the Public Offering are referred to herein as the “Shares.”
