THIS THIRD AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT (this “Agreement”), is made and entered into this 6th day of April, 2001, by and among Blackboard Inc., a Delaware corporation (the “Company”), the holders of the Company’s Series A Preferred Stock (as defined below) listed on Schedule I, the holders of the Company’s Series B Preferred Stock (as defined below) listed on Schedule I, the holders of the Company’s Series C Preferred Stock (as defined below) listed on Schedule I, the holders of the Company’s Series D Preferred Stock (as defined below) listed on Schedule I, the holders of the Company’s Series E Preferred Stock (as defined below) listed on Schedule I, and Matthew Pittinsky, Michael L.
