SUPPLEMENTAL INDENTURE (this "Supplemental Indenture"), dated as of May 17, 2002 among Tesoro Escrow Corp. (the "Company"), Tesoro Petroleum Corporation ("Tesoro"), the subsidiary guarantors listed on the signature page hereto (the "Original Guarantors") and U.S. Bank National Association, as trustee under the indenture referred to below (the "Trustee").
