THIS CERTIFIES THAT, for value received, TPG BIOTECHNOLOGY PARTNERS II, L.P., or its assigns (the “Holder” or “Purchaser”), is entitled to subscribe for and purchase at the Exercise Price (defined below) from VIROBAY, INC., a Delaware corporation (the “Company”) up to one million one hundred twenty-eight thousand eight hundred eighty-seven (1,128,887) shares of Series A Preferred Stock of the Company (the “Series A Stock”), subject to the vesting provisions set forth herein.
