THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”), dated as of August 22, 2011, is made by and among Multifamily Technology Solutions, Inc., a Delaware corporation (the “Company”), RealPage, Inc., a Delaware corporation (“Parent”), RP Newco IV Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Subsidiary”), and Shareholder Representative Services LLC, a Colorado limited liability company, solely in its capacity as Representative (as hereinafter defined).
