SECURITIES LENDING AGENCY AGREEMENT dated as of March 15, 2008 among American Beacon Funds (the “Trust”), on behalf of the series thereof set forth in the Operational Procedures (as hereinafter defined) to (each, the “Series”), an investment company organized under the laws of the Commonwealth of Massachusetts (the Trust on behalf of each Series, the “Fund”), and Brown Brothers Harriman & Co., a New York limited partnership with an office in Boston, Massachusetts (“BBH&Co.”).
