THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT OF HF LOGISTICS-SKX, LLC (the “Company”), is entered into and effective as of the 12th day of April, 2010 but is effective as of January 30, 2010 (the “Effective Date”) by and between HF LOGISTICS I, LLC, a Delaware limited liability company (“HF”), and SKECHERS R.B., LLC, a Delaware limited liability company (“Skechers”, and together with HF, the “Members”). This Agreement amends and restates, and supersedes in its entirety, the Limited Liability Company Agreement of HF Logistics-SKX, LLC dated January 30, 2010.
