THIS TWELFTH AMENDMENT (“Amendment”) to the Expense Limitation Agreement, as previously amended (“Agreement”) between ICON Funds (the “Trust”) and ICON Advisers, Inc. (the “Adviser”) is effective as of this 9th day of August 2010.

This Agreement shall be deemed for all purposes to constitute a separate and discrete agreement between State Street and each of the series of shares of the Trust as listed on Schedule B to this Agreement (the Trust acting on behalf of each such series, a “Fund” and collectively, the “Funds”) as it may be amended by the parties, and no series of shares of the Trust shall be responsible or liable for any of the obligations of any other series of the Trust under this Agreement or otherwise, notwithstanding anything to the contrary contained herein.

This Agreement is made as of April 1, 2010 between ICON Funds (the “Trust”), a Massachusetts business trust. The Trust is registered as an open-end management investment company under the Investment Company Act of 1940, as amended (the “IC Act”) and has registered its shares of common stock (the “Shares”) under the Securities Act of 1933, as amended (the “ 1933 Act”) in one or more distinct series of Shares (each a “Fund” or collectively the “Funds), and State Street Bank and Trust Company, a Massachusetts trust company (the “Custodian”).The Funds are identified on Appendix A hereto, and are made subject to this Agreement in accordance with Section 19.5.
