This Amendment (the “Amendment”) by and among Santarus, Inc., a Delaware corporation having a principal place of business at 3721 Valley Centre Drive, Suite 400, San Diego, CA 92130 (“SANTARUS”), Interchem Trading Corporation d/b/a Interchem Corporation, a New Jersey corporation located at 120 Route 17 North, Paramus, New Jersey 07652 (“INTERCHEM”), and Union Quimico Farmaceutica, S.A., a corporation of Spain located at Mallorca, 262, 08008, Barcelona, Spain (“UQUIFA”) is entered into as of October 30, 2009 (the “Effective Date”).

THIS SECOND AMENDED AND RESTATED MANUFACTURING AND SUPPLY AGREEMENT (the “Agreement”) is made effective as of the 20th day of October 2009 (the “Effective Date”) by and between Santarus, Inc., a Delaware corporation, having offices at 3721 Valley Centre Drive, Suite 400, San Diego, California 92130, U.S.A. (“Santarus”) and Patheon Inc., a corporation incorporated under the laws of Canada, having offices at 2100 Syntex Court, Suite 350, Mississauga, Ontario L5N 7K9, CANADA (“Patheon”) and replaces in its entirety the Amended and Restated Manufacturing and Supply Agreement entered into between Santarus and Patheon on December 19, 2006, and any amendments thereto through the date hereof. Patheon and Santarus are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
