THIS AMENDED AND RESTATED ADVISORY AGREEMENT, dated as of October 1, 2009, is between CORPORATE PROPERTY ASSOCIATES 15 INCORPORATED, a Maryland corporation (the “Company”), and CAREY ASSET MANAGEMENT CORP., a Delaware corporation and wholly-owned subsidiary of W. P. Carey & Co. LLC (the “Advisor”).
