This Escrow Agreement is dated and effective as of the ___ day of ___, 2007 and is made by and among ICON Securities Corp. (the “Dealer-Manager”), ICON Leasing Fund Twelve, LLC, a Delaware limited liability company (the “Company”), ICON Capital Corp., a Connecticut corporation and the manager of the Company (the “Manager”) and The JP Morgan Chase Bank, a New York State Chartered Bank (the “Escrow Agent”).
