This Amended and Restated Employment Agreement (this “Agreement”) is made effective as of February 18, 2014 (the “Effective Date”), by and between Cheviot Saving Bank, an Ohio-chartered stock savings and loan association (the “Bank”) and Thomas J. Linneman (“Executive”). The Bank and Executive are sometimes collectively referred to herein as the “parties.” Any reference to the “Company” shall mean Cheviot Financial Corp., the holding company of the Bank. The Company is a signatory to this Agreement for the purpose of guaranteeing the Bank’s performance hereunder.

This Change in Control Agreement (the “Agreement”) is made effective as of the 18th day of February, 2014 (the “Effective Date”), by and between Cheviot Savings Bank (the “Bank”), an Ohio-chartered stock savings and loan association with its headquarters located in Cheviot, Ohio and Scott T. Smith (“Executive”).
