THIS AGREEMENT AND PLAN OF REORGANIZATION (“Agreement”) is made as of this 9th day of August, 2010, by and among Eaton Vance Municipals Trust (“Municipals Trust”), a Massachusetts business trust, on behalf of its series Eaton Vance Colorado Municipal Income Fund (“Colorado Fund”) and Eaton Vance Louisiana Municipal Income Fund (“Louisiana Fund”) and Eaton Vance Municipals Trust II (“Municipals Trust II”), a Massachusetts business trust, on behalf of its series Eaton Vance Insured Municipal Income Fund (“Insured Fund”) and Eaton Vance Kansas Municipal Income Fund (“Kansas Fund”), and Municipals Trust, on behalf of its series Eaton Vance National Municipal Income Fund. Eaton Vance Colorado Municipal Income Fund, Eaton Vance Louisiana Municipal Income Fund, Eaton Vance Insured Municipal Income Fund and Eaton Vance Kansas Municipal Income Fund, are collectively referred to herein as the “Acquired Funds”, and Eaton Vance National Municipal Income Fund is referred to herein as the “Acquiring
