AMENDED AND RESTATED RULE 12b-1 DISTRIBUTION PLAN AND AGREEMENT dated as of August 1, 2018 by and between each of the registered, open-end management investment companies acting individually in respect of their constituent series listed on Schedule A hereto (each a “Fund”) and Lord Abbett Distributor LLC, a New York limited liability company (the “Distributor”). This Amended and Restated Joint Rule 12b-1 Distribution Plan and Agreement dated as of August 1, 2018 supersedes the Amended and Restated Joint Rule 12b-1 Distribution Plan and Agreement dated as of December 15, 2016.

This Schedule A, as may be amended from time to time, is incorporated into that certain Agency Agreement dated January 1, 2017 by and between DST Systems, Inc. and the Lord Abbett Family of Funds. Capitalized terms used herein but not defined in this Schedule A have the meanings given to such terms in the Agreement.

We refer to the Agency Agreement by and among DST Systems, Inc. (“DST”) and the Lord Abbett Family of Funds (the “Funds”), dated January 1, 2017 (the “Agreement”). Pursuant to Section 24(D) of the Agreement, DST and the Funds agree to amend the Agreement as follows:

This Expense Limitation Agreement (the “Agreement”) is made and entered into as of this 1st day of December, 2018 between Lord, Abbett & Co. llc (“Lord Abbett”), Lord Abbett Distributor LLC (“Lord Abbett Distributor”), and Lord Abbett Equity Trust (the “Trust”) with respect to Lord Abbett Calibrated Large Cap Value Fund and Lord Abbett Calibrated Mid Cap Value Fund (each, a “Fund”).
