THIS AGREEMENT AND PLAN OF REORGANIZATION (the "Plan") is made this 24th day of June, 2011, by John Hancock Variable Insurance Trust ("JHVIT"), a Massachusetts business trust, on behalf of each "Acquired Fund'" and its corresponding "Acquiring Fund" listed below, all of which are separate series or funds of JHVIT, and, for purposes of Sections l(a)(ii) and 9 of the Plan only, by John Hancock Investment Management Services, LLC ("JHIMS"), the investment adviser to JHVIT:
