THIS AGREEMENT AND PLAN OF REORGANIZATION (the "Agreement") is made this 9th day of August, 2012, by and between MFS Variable Insurance Trust II, a Massachusetts business trust ("Trust II"), on behalf of MFS Mid Cap Growth Portfolio, a segregated portfolio of assets ("series") thereof (the "Acquired Fund"), and MFS Variable Insurance Trust, a Massachusetts business trust ("Trust I"), on behalf of MFS Mid Cap Growth Series, a segregated portfolio of assets ("series") thereof (the "Surviving Fund"), each with its principal place of business at 500 Boylston Street, Boston, Massachusetts 02116. Each of the Acquired Fund and the Surviving Fund are also referred to herein as a "Fund" and, together, as the "Funds."
