This First Amendment (the “Amendment”) is made on this __ day of June, 2014 to the Agreement, dated as of December 18, 2007 (the “Agreement”), by and between the Miller Investment Trust, a Delaware statutory trust (the “Fund”), on behalf of each of its Series listed on Schedule II hereto, and The Bank of New York Mellon (formerly The Bank of New York), a bank organized under the laws of the state of New York (the “Custodian”). Capitalized terms used herein and not otherwise defined shall have the respective meanings ascribed to such terms in the Agreement.
