DISTRIBUTION PLAN made as of March 28, 2012, by and between Northern Lights Fund Trust (the "Trust") on behalf of its separate series, Sierra Core Retirement Fund (the “Fund”) and the distributor for the Fund, Northern Lights Distributors, LLC (the “DISTRIBUTOR”). This Distribution Plan replaces the previous distribution plan dated December 14, 2009.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 15th day of November, 2007, as amended on December 15, 2008, December 14, 2009 November 10, 2010 and March 28, 2012, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of the Sierra Core Retirement Fund, (the “Fund”) a series of the Trust and the Advisor of such Fund, Wright Fund Management, LLC (the “Advisor”).
