THIS FUND SERVICES AGREEMENT (the “Agreement”) made as of the 16th day of February, 2010, as revised on November 16, 2011 and December 28, 2011, by and between EPIPHANY FUNDS, an Ohio statutory trust, having its principal office and place of business at 106 Decker Court, Suite 226, Irving, TX 75062 (the "Trust") and GEMINI FUND SERVICES, LLC, a Nebraska limited liability company having its principal office and place of business at 4020 South 147th Street, Omaha, Nebraska 68137 (“GFS”). This Agreement replaces and supersedes all prior understandings and agreements between the parties hereto for the services described below.

THIS AGREEMENT is made and entered into as of this 29th day of December, 2011, by and between Trinity Fiduciary Partners, LLC (the “Adviser”), a Texas limited liability corporation registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”) located at 106 Decker Court, Ste 226, Irving, Texas 75062, and Hillcrest Asset Management, LLC (the “Subadviser”), a Delaware limited liability company registered as an investment adviser under the Advisers Act, located at 14180 North Dallas Parkway, Suite 650, Dallas, Texas 75254 with respect to each Fund listed on Schedule A hereto (each, a “Fund”), each a series of the Epiphany Funds Trust, a Ohio statutory trust (the “Trust”).

THIS AGREEMENT is made as of January 17, 2012, between Epiphany Funds Trust(“Fund”), an Ohio Business Trust, and Rafferty Capital Markets, LLC, (“RCM”), a corporation organized and existing under the laws of the State of New York.

You have engaged us to act as the investment adviser to the Epiphany FFV Fund, Epiphany FFV Focused Fund, Epiphany FFV Strategic Income Fund, Dana Large Cap Core Fund (formerly Epiphany Large Cap Core Fund) and Epiphany FFV Latin America Fund (collectively the “Funds”) pursuant to an Investment Advisory Agreements dated as of December 28, 2009 (for the Epiphany FFV Focused Fund, Epiphany FFV Strategic Income Fund and Dana Large Cap Core Fund) and January 29, 2010 (for the Epiphany FFV Fund) and December 28, 2011 (for Epiphany FFV Latin America Fund) (together the “Agreements”).
