THIS EMPLOYMENT LETTER AGREEMENT (“Agreement”) is entered into on this 7th day of September, 2007, by and between (i) KMG AMERICA CORPORATION, a Virginia corporation (“Employer”) and (ii) PAUL F. KRAEMER (“Executive”).
