This AMENDED AND RESTATED SHARE PURCHASE AGREEMENT (this “Agreement”), dated as of January 11, 2018, is made by and among Z Acquisition LLC, a Delaware limited liability company (“Buyer”), Ramguard LLC, a Delaware limited liability company (as successor-in-interest by conversion to d.Quant Special Opportunities Fund, L.P., a Delaware limited partnership) (“Seller”) and Christian Zugel (“CZ”).

This SECOND Amended and Restated Limited Liability Company Agreement of Z Acquisition LLC, a Delaware limited liability company (the “Company”), dated as of January 11, 2018, is entered into by and among Christian M. Zugel (“Zugel”) and the other Persons listed under the heading “Members” on Schedule A attached hereto (Zugel, each such Person, and each other Member admitted to the Company from time to time pursuant to the terms of this Agreement is referred to herein as a “Member”).

In accordance with Rule 13d-1(k) promulgated under the Securities Exchange Act of 1934, the undersigned agree to the joint filing of the amendment to statement on Schedule 13D (including any and all further amendments thereto) with respect to the Class A Shares of ZAIS Group Holdings, Inc., dated as of January 16, 2018, and further agree to the filing of this agreement as an Exhibit thereto. In addition, each party to this agreement expressly authorizes Christian Zugel to file on its behalf any and all further amendments to such statement on Schedule 13D.
