THIS AMENDED AND RESTATED AGREEMENT is made and effective as of January 18, 2018, by and between Managed Portfolio Series, a Delaware statutory trust (the “Trust”), Quasar Distributors, LLC, a Delaware limited liability company (the “Distributor”) and Muhlenkamp & Company, Inc, a Pennsylvania corporation and the investment advisor to the Trust (the “Advisor”).
