This Investment Sub-Advisory Agreement (“Agreement”) made as of April 27, 2017 (the “Effective Date”), by and among Epoch Investment Partners, Inc. a Delaware corporation located at 399 Park Avenue, New York, New York 10022 (the “Sub-Advisor”), and Envestnet Asset Management, Inc., a Delaware corporation located at 35 East Wacker Drive, Suite 2400, Chicago, Illinois 60601 (the “Advisor”).

THIS FIRST AMENDMENT dated effective as of the 27th day of December, 2017, to the Investment Advisory Agreement, dated as of June 15, 2010 (the “Agreement”), entered into by and between TRUST FOR PROFESSIONAL MANAGERS (the “Trust”), on behalf of the series of the Trust as indicated on Schedule A to the Agreement, as may be amended from time to time (the “Fund”), and Envestnet Asset Management, Inc. (hereinafter called the “Adviser”).
