THIS AMENDED AND RESTATED OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is made as of the 5th day of May, 2017, by and between Managed Portfolio Series, a Delaware statutory trust (the “Trust”), on behalf of the series of the Trust listed on Appendix A, which may be amended from time to time (the “Fund”), and Nuance Investments, LLC, a Kansas limited liability company (the “Adviser”).

THIS SECOND AMENDMENT dated as of the 1st day of May, 2017, to the Investment Advisory Agreement, dated as of May 4, 2011, as amended November 18, 2015, (the “Agreement”), is entered into by and between Managed Portfolio Series, a Delaware statutory trust (“Trust”) and Nuance Investments, LLC, a Kansas Limited Liability Company (“Adviser”).
