THIS AMENDED AND RESTATED INVESTMENT ADVISORY AGREEMENT (this “Agreement”) was made and entered into on October 5, 2010, by and between Perritt Funds, Inc., a Maryland corporation (the “Company”), and Perritt Capital Management, Inc., an Illinois corporation (the “Adviser”). The term of this Agreement was last continued on November 30, 2012.

THIS AGREEMENT is made and entered into as of this 21st day of August, 2012, by and between PERRITT FUNDS, INC., a Maryland corporation, (the “Company”) and U.S. BANCORP FUND SERVICES, LLC, a Wisconsin limited liability company (“USBFS”). This Agreement replaces and supersedes the Fund Administration Servicing Agreement dated April 1, 2009.
