THIS INVESTMENT SUB-ADVISORY AGREEMENT (hereinafter, the “Agreement”) is made as of the 21st day of July, 2011, by and among William Blair & Company, L.L.C., a Delaware limited liability company, located at 222 West Adams Street, Chicago, IL 60606 (the “Sub-Advisor”) and Envestnet Asset Management, Inc., a Delaware corporation located at 35 East Wacker Drive, Suite 2400, Chicago, IL 60601 (the “Advisor”).
