This letter agreement (this “Agreement”) (1) amends the Employment Agreement between you and Conexant Systems, Inc. (the “Company”) dated December 18, 2002, as amended February 27, 2004 (the “Employment Agreement”) and (2) sets forth the terms of your separation from employment with Conexant Systems, Inc. (the “Company”). Except as otherwise specified in Section 1 of this Agreement, this Agreement will be effective upon the “Effective Date” (as defined in the general release attached hereto as Exhibit A).
