THIS ASSET PURCHASE AGREEMENT (the “Agreement”) is made on June 15th, 2018 by and between Punch TV Studios, Inc., a Delaware Corporation, (the “Seller”) and Punch Flix, Inc., a Delaware Corporation (the "Purchaser"). The parties are referred to singularly as “Party” and collectively as the “Parties.”

This EXECUTIVE EMPLOYMENT AGREEMENT (“Agreement”) made and entered into this 15th day of June 2018, by and between PunchFlix, Inc, a Delaware corporation with principal offices located at 11705 Willake St, Santa Fe Springs, California 90670 (“PunchFlix” or “Company”); and Joseph Collins, an individual, with principle offices located at 11705 Willake St., Santa Fe Springs, California 90670 (“Collins”). PunchFlix and Collins shall be referred to individually as a “Party” and collectively as the “Parties.”
