THIS AGREEMENT AND PLAN OF REORGANIZATION (the Agreement) is made as of July 24, 2006, by and between Fidelity Fixed-Income Trust (Fixed-Income Trust), a Massachusetts business trust, on behalf of its series Spartan Government Income Fund (Spartan Government Income), and Fidelity Income Fund, a Massachusetts business trust, on behalf of its series Fidelity Government Income Fund (Fidelity Government Income). Fixed-Income Trust and Fidelity Income Fund may be referred to herein collectively as the "Trusts" or each individually as a "Trust." The Trusts are duly organized business trusts under the laws of the Commonwealth of Massachusetts with their principal place of business at 82 Devonshire Street, Boston, Massachusetts 02109. Fidelity Government Income and Spartan Government Income may be referred to herein collectively as the "Funds" or each individually as a "Fund."

Fidelity Advisor Series II and Fidelity Income Fund may be referred to herein collectively as the "Trusts" or each individually as a "Trust." The Trusts are duly organized business trusts under the laws of the Commonwealth of Massachusetts with their principal place of business at 82 Devonshire Street, Boston, Massachusetts 02109.
