This agreement shall be construed and governed in accordance with the laws of the State of Colorado. If all documents are not received within a reasonable time, problems may arise in advance funded transactions respecting reimbursement of the lessor for issuance costs and administrative expenses in addition to any accrued interest and progress payments. The flow of funds is similar to that of most certificate of participation transactions except that the Sublessee makes its payments directly to the Trustee. All of the spendable proceeds of the Agreement will be expended on the Equipment and related expenses within three years frof execution of the Agreement and Escrow Agreement. Lessee is authorized under the Constitution and laws of the State to enter into this Agreement and the transaction contemplated hereby and to perform all of its obligations hereunder.
