THIS Second Amendment to the INTERGOVERNMENTAL GRANT AGREEMENT (“Grant Agreement” or “Agreement”) is entered into as of the effective date identified below the signatures to this Agreement and is between the Tri-County Metropolitan Transportation District of Oregon ("TriMet"), a mass transit district organized under the laws of the State of Oregon; and the City of Portland, a municipal corporation organized under the laws of the State of Oregon (“City”) (TriMet and City collectively are hereinafter referred to as “the Parties”). This Agreement amends the “I-205/Mall Light Rail Project Intergovernmental Grant Agreement between TriMet and the City of Portland – First Amendment” executed in December 2004 (the “First Amendment Agreement”). This Agreement shall supercede and the replace in its entirety the First Amendment Agreement.
