You and the Corporation now desire to make certain changes to the Prior Agreement in order to modify the benefits provided thereunder, to extend the term of the Prior Agreement, and to provide certain compensation and benefits to you if your employment terminates under certain circumstances absent a Change in Control. Accordingly, you and the Corporation have agreed to amend and restate the Prior Agreement as set forth below (the “Agreement”) as of the date both parties have signed this Agreement (the “Effective Date”).

You and the Corporation now desire to make certain changes to the Agreement in order to modify the benefits provided thereunder as well as to reflect recent changes affecting the taxation of deferred compensation arrangements under Section 409A of the Internal Revenue Code of 1986, as amended (the “Code”). Accordingly, you and the Corporation have agreed to amend and restate the Prior Agreement as set forth below (the “Agreement”) as of August 10, 2008 (the “Effective Date”).
