This Investment Consulting Agreement (this “Agreement”) is made and entered into by and among Tillamook County, an Oregon corporation (“Client”), and Retirement Consulting Group, Inc., an Oregon corporation (“RCG”), with RCG acting as a Registered Investment Advisor and John H. Upton acting as its Investment Advisor Representative, (and RCG and Upton jointly referred to as “Consultant” or “Advisor”). Client hereby retains Consultant to provide the fiduciary and non-fiduciary consulting services described herein with respect to assets of the Tillamook County Retirement Plan (“Plan”) subject to the terms and conditions set forth below. Client’s defined benefit plan is not subject to the Employee Retirement Income Security Act of 1974 (“ERISA”).
