Paradigm Capital Inc. and Canaccord Genuity Corp. (the “Agents”) understand that Cansortium Inc. (the “Company”) proposes to offer for sale, pursuant to the Final Prospectus (as hereinafter defined), 26,000,000 units of the Company (the “Offered Units”), at a purchase price of US$2.00 per Offered Unit (the “Offering Price”) to raise minimum gross proceeds of US$52,000,000 (the “Offering”). Each Offered Unit is comprised of one common share in the capital of the Company (each a “Unit Share” and collectively the “Unit Shares”) and one-half of one common share purchase warrant (each whole common share purchase warrant, a “Warrant” and collectively, the “Warrants”). Each Warrant will entitle the holder to purchase one additional share of common stock of the Company (the “Warrant Shares”) at a price of US$2.40 at any time for a period of 24 months from the Closing Date (as hereinafter defined).
