Research Capital Corporation, Blackmont Capital Inc. and Acumen Capital Finance Partners Limited (collectively the “Agents”) understand that Multiplied Media Corporation (the “Corporation”) is prepared to issue and sell up to 116,666,666 common shares (the “Common Shares”) in the capital of the Corporation at a price of $0.06 per Common Share for gross proceeds of up to $7,000,000 (the “Offered Securities”) on the terms and subject to the conditions contained hereinafter.
